The Financial Institutions & Financial Transactions Practice group represents the legal needs of financial institutions and companies and provides a team of professionals with a wealth of knowledge concerning the issues and challenges affecting publicly and closely held entities, banks, their bank holding companies, subsidiaries, affiliates, institution-affiliated partners, credit unions and the financial services industry as a whole. Our goal is to provide solid and practical legal advice to our clients to help them achieve their goals, navigate regulatory matters and resolve supervisory issues and concerns.

The Financial Institutions & Financial Transactions Practice group advises the management and boards of directors of companies and financial institutions with respect to a broad section of corporate, banking, compliance, securities, and transactional and regulatory matters. We also represent issuers, underwriters and placement agents to address the capital needs of financial institutions and companies. Our group has been a leader in advising clients in public and private offerings of debt and equity, and its attorneys have historically been among the leading attorneys in the region in advising financial institutions with respect to mergers and acquisitions.

We are experienced in addressing a wide array of regulatory compliance, corporate governance, securities, business, and lending matters, and we provide a wide array of services ranging from representation to financial institutions in connection with supervisory concerns, such as supervisory actions and related compliance, and a variety of lending activities, and capital raising initiatives. We assist our clients in structuring solutions for capital and corporate needs through public and private offerings of equity and debt, along with the related facets of securities and regulatory compliance. Our representation also spans a variety of geographic and product market expansion activities of financial institutions, including de novo federal and state bank charters and holding company formations. The group also advises clients with respect to contractual matters, including those regarding third party vendors, IT, FinTech relationships and employment and compensation.
