The firm has represented clients in connection with franchise and distributorship law for many years. We led the way in creating the theory of constructive termination and further developed the definition of a franchise in the landmark decision, Petereit v. S.B. Thomas, Inc., 853 F. Supp. 55 (D. Conn. 1993), aff'd in part, rev'd in part, 63 F.3d 1162 (2d Cir. 1995). Of course, your case will be decided on its own facts, and we cannot imply that our previous successes will result in us winning your case. We counsel manufacturers, franchisors and suppliers, on the one hand, and franchisees, distributors, and dealers, on the other hand, with respect to their rights and obligations under applicable federal and state franchise, business opportunity, dealership and distributorship laws. Such counsel extends to the special laws affecting dealers and distributors of alcoholic beverages and liquor, petroleum products, motor vehicles and farm, construction and garden equipment.

Aside from handling litigation, such as terminations and injunctions, we also deal with corporate issues, such as disclosure statements, distribution systems, and governmental filings. We have represented franchisees/distributors in such businesses and industries as snack foods, baked goods, donut shops, restaurants, cleaning and repair services, truck engine construction and repair, payroll services, truck stops, home improvement, and pipe valves and fittings. We have also represented local, regional, national, and international manufacturers, particularly in establishing nationwide franchises or distributor networks.
